End-User License Agreement

By creating an account, connecting a third-party service, or otherwise accessing or using the Application, you agree to be bound by this Agreement. If you are accepting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree to this Agreement, do not use the Application.

Subject to your compliance with this Agreement and payment of any applicable fees, Stak grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Application during your subscription term, solely for your internal business purposes and in accordance with any documentation we provide.

Except as expressly permitted by this Agreement or applicable law, you will not, and will not permit anyone else to:

• Copy, modify, translate, or create derivative works of the Application
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Application
• Sell, resell, rent, lease, sublicense, or otherwise make the Application available to any third party
• Circumvent or interfere with any security, authentication, or usage limits of the Application
• Use the Application to build a competing product or service, or to access data you are not authorized to access
• Use the Application in violation of any applicable law or of the terms of any third-party service you connect to it

You are responsible for all activity under your account, for ensuring that your authorized users comply with this Agreement, and for keeping your credentials confidential. Notify us promptly at [email protected] of any unauthorized use of your account.

The Application can connect to third-party services, including Intuit QuickBooks Online. When you connect a third-party service, you authorize Stak to access and exchange data with that service on your behalf, as described in our Privacy Policy. You represent that you are authorized to connect each account you link.

Intuit QuickBooks. You acknowledge and agree that:

• This Agreement is between you and Stak only. Intuit Inc. and its affiliates ("Intuit") are not parties to this Agreement.
• Stak, not Intuit, is solely responsible for the Application, its content, its maintenance and support, and any claims relating to it.
• Your use of QuickBooks Online, and the QuickBooks data you choose to connect, remains subject to Intuit's own terms of service and privacy statement, in addition to this Agreement.
• Stak's access to QuickBooks Online depends on Intuit's services and may be interrupted or changed by Intuit. Stak is not responsible for the availability or accuracy of third-party services.
• You may disconnect QuickBooks Online at any time from your Stak account settings or from within QuickBooks Online. See our Support page for instructions.

As between you and Stak, you retain all rights in the data you submit to the Application or sync from connected services ("Your Data"). You grant Stak a limited license to host, process, transmit, and display Your Data solely to provide, secure, and support the Application. Stak does not sell Your Data. Our collection and use of information is described in our Privacy Policy. You are responsible for the accuracy of Your Data and for reviewing records the Application creates or updates in connected services.

The Application, including all software, content, features, and functionality, is licensed, not sold. Stak Technologies Inc. and its licensors retain all right, title, and interest in and to the Application, including all intellectual property rights. Any feedback you provide may be used by Stak without obligation to you.

This Agreement remains in effect until terminated. You may terminate it at any time by closing your account and ceasing all use of the Application. Stak may suspend or terminate your access if you breach this Agreement or if required by law. Upon termination, your license ends immediately, Stak will stop accessing any connected third-party services on your behalf, and Your Data will be handled as described in our Privacy Policy. Sections 3 and 6 through 11 survive termination.

THE APPLICATION IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. STAK DOES NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DATA SYNCED WITH THIRD-PARTY SERVICES WILL BE COMPLETE OR ACCURATE. THE APPLICATION DOES NOT PROVIDE ACCOUNTING, TAX, OR LEGAL ADVICE.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL STAK TECHNOLOGIES INC., ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE APPLICATION, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY. STAK'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT WILL NOT EXCEED THE AMOUNTS YOU PAID TO STAK FOR THE APPLICATION IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

This Agreement is governed by the laws of the State of Washington, USA, without regard to its conflict of laws principles. Any dispute arising out of or relating to this Agreement will be brought exclusively in the state or federal courts located in King County, Washington, and you consent to the personal jurisdiction of those courts.

We may update this Agreement from time to time. When we do, we will update the "Last updated" date at the top of this page and, for material changes, may notify you by email or within the Application. Your continued use of the Application after changes take effect constitutes acceptance of the revised Agreement.
